End User Licensing Agreement
Effective Date: January 1st, 2025

This End User License Agreement (“Agreement”) governs your access to and use of Simple RFID’s software, hardware, and related services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by this Agreement, our Privacy Policy, and any additional terms referenced herein.

1. License Grant

Simple RFID grants you a limited, non-exclusive, non-transferable, and revocable license to access and use its software applications, web portal, mobile apps, integrations, and tools solely for your internal business operations during an active subscription term. All rights not expressly granted are reserved by Simple RFID.

2. Account Access and Use

  • Login credentials and onboarding materials are issued after payment confirmation.

  • Access includes the Simple RFID web portal, mobile apps, print client, integrations, and support tools.

  • You are responsible for maintaining the confidentiality of your credentials and ensuring that only authorized users access the system.

3. Subscription Term and Renewal

  • Subscriptions are billed annually and renew automatically for 12-month terms unless canceled in writing at least 30 days before renewal.

  • Service begins on the date of account setup and remains active through the paid term.

  • Cancellations outside the annual term require 30-day notice; early cancellations are not permitted.

4. Billing and Payment

  • An active payment method must remain on file for uninterrupted access.

  • Charges may include software subscriptions, hardware, labels, shipping, or additional services.

  • By submitting payment information, you authorize Simple RFID and its payment processors to automatically charge applicable fees.

  • A 3% processing fee may apply to credit card payments. ACH or wire transfer options are also available.

5. Setup, Onboarding, and Training

A one-time onboarding fee covers account setup, hardware configuration, testing, tagging guidance, training, and ongoing support materials. Customers agree to attend scheduled sessions or reschedule in good faith if needed.

6. Customer Responsibilities

  • Tagging and Testing: You are responsible for testing RFID labels and verifying effectiveness.

  • Maintenance: You agree to follow recommended maintenance procedures for all printers, readers, and tags.

  • Data Accuracy: You are responsible for ensuring the accuracy of all product and inventory data entered into the system.

7. Hardware, Warranty, and Media

  • New hardware includes a one-year manufacturer warranty.

  • Used or refurbished hardware is sold “as-is.”

  • Hardware failures within 30 days are managed by Simple RFID; after 30 days, warranty claims go directly through the manufacturer.

  • Simple RFID is not responsible for performance issues when using non-approved labels or third-party consumables.

8. Intellectual Property

All software, documentation, training materials, integrations, and systems remain the sole property of Simple RFID. This license does not transfer ownership. You may not copy, reverse engineer, decompile, modify, or distribute the software or related materials.

9. Acceptable Use

You agree to use the Services only for lawful purposes. You may not:

  • Interfere with or disrupt the integrity or performance of the Services.

  • Attempt to gain unauthorized access to any system or account.

  • Use the Services for illegal or infringing activities.

Violation of these terms may result in suspension or termination of access.

10. Data and Privacy

Your use of the Services is also governed by the Simple RFID Privacy Policy. Simple RFID collects and processes limited data to provide functionality, support, and compliance with applicable law. We do not sell customer data to third parties.

11. Limitation of Liability

To the fullest extent permitted by law, Simple RFID and its affiliates shall not be liable for indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits, data, or inventory arising from the use or inability to use the Services, even if advised of the possibility of such damages. Simple RFID’s total cumulative liability shall not exceed the total fees paid by you during the prior 12 months.

12. Performance Disclaimer

Simple RFID strives to deliver accurate, reliable solutions; however, results depend on many external variables such as environment, network stability, and user behavior. While we support and maintain best practices, Simple RFID does not guarantee specific inventory accuracy, read rates, or uptime performance.

13. Force Majeure

Simple RFID is not responsible for delays or failure to perform caused by events outside its control, including but not limited to natural disasters, power outages, or internet disruptions.

14. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the State of Utah, without regard to conflict of law principles. Any dispute shall first be resolved through good-faith negotiation. If unresolved, the parties agree to exclusive jurisdiction in the courts of the State of Utah.

15. Changes to this Agreement

Simple RFID may update this Agreement as needed to reflect changes in laws, services, or business practices. We will post the updated version on our website, and continued use of the Services constitutes acceptance of the revised terms.
